Henkels & McCoy, Inc. (H&M) is searching for a Subcontracts Specialist with at least 1-3 years’ experience in preparing and reviewing commercial subcontracts (preferably commercial construction and/or engineering contracts). The Subcontracts Specialist is responsible for the subcontract agreement review process, which includes processing a large volume of subcontract agreements and meeting aggressive timeframes and quality goals. The Subcontracts Specialist fills a key role in handling the subcontractor process from start to finish by drafting language and edits to the subcontract agreement templates; understanding the customer's prime contract flow-down provisions as applicable to the subcontractor; performing detailed analysis of subcontractor-requested changes; and obtaining a fully-executed subcontract agreement package.  The Subcontracts Specialist will work closely with the East Region Team to assure timely responses, both internally and externally, to subcontract agreement and related document requests. This position requires the ability to prioritize and work under tight timelines to meet deadlines and to shift work activities to meet immediate response needs.


Essential Duties & Responsibilities:

  • Support the East, Central and Pipeline Regions and the Regional Counsel with preparation, negotiation and execution of subcontract agreements across H&M’s power, gas, renewables and telecommunication lines of business, and in conformance with H&M’s policies and practices.  
  • Review signed subcontract agreement packages to ensure that all required documents have been accurately received.
  • Follow up with responsible parties, internally and externally, to obtain missing or corrected documents required as part of the subcontract agreement package, such as certificates of insurance with endorsements and bonds, if required.
  • Negotiate subcontractor’s exceptions and requested edits to H&M’s standard subcontract agreement template with subcontractors’ contracts representative(s), under the direction and/or with Regional Contracts Manager and/or Corporate Counsel at H&M.
  • Process subcontract agreement packages for execution.
  • Develop and maintain subcontracts database.
  • Draft edits and routine subcontract amendments under the supervision of the Regional Counsel.
  • Respond to e-mail and telephone inquiries on legal/subcontract document-related matters.
  • Investigate and respond to legal-related questions on insurance issues, equipment, change orders, permitting and fleet rental agreements as it pertains to subcontracts.





Minimum Qualifications

  • Associate or Bachelor’s degree (or equivalent in business or legal related discipline) with a minimum of 2-4 years’ experience negotiating and creating contracts with a demonstrated ability to successfully do the same under tight timelines.
  • Must be detail oriented.
  • Proactive and works well independently.
  • Ability to manage time sensitive matters, multitask and manage competing priorities.
  • Excellent MS Word skills
  • Must have a working knowledge of Microsoft Office applications including word processing, spreadsheets, and PowerPoint, as well as an aptitude for learning new database software quickly.
  • Excellent writing/grammar/spelling skills

Preferred Qualifications

  • Paralegal Degree/Certification, preferred, with a minimum of 2-4 years of experience negotiating and creating contracts with a demonstrated ability to successfully do the same under tight timelines.
  • Experience working for a national commercial construction company or closely related industry preferred.
  • Experience using a contract management system preferred.
  • Experience with Microsoft SharePoint preferred.
