We are currently searching for a commercial contract manager / specialist with at least 3-5 years’ experience in reviewing complex commercial contracts (preferably commercial construction and/or engineering contracts). This position requires a practical understanding of the critical components of a complex commercial contract (e.g., indemnity, insurance, limitation of liability, limitations on damages and waivers of consequential damages, force majeure, warranty, payment provisions, etc.), as well as experience in reviewing other related contract documents, such as non-disclosure agreements (NDAs), purchase orders, rental agreements, etc. The ideal candidate should also understand “construction specific” contract principles, such as flow-down clauses, delays, delay liquidated damages, differing site conditions, hazardous materials, and termination.   

 This position requires the ability to prioritize and work under tight timelines to meet deadlines and to shift work activities to meet immediate response needs. 

Essential Duties & Responsibilities:

  • This position will support the East, Central and Pipeline Regions and the Regional Counsel with preparation, negotiation and execution of a variety of commercial contracts across H&M’s power, gas, renewables and telecommunication lines of business, and in conformance with H&M’s policies and practices.  
  • Work with the Legal Department, Insurance Department and Operations to provide contract and contract mitigation support.
  • Support H&M’s Subcontract Specialist and Procurement Group with questions pertaining to subcontracts, purchase orders, vendor agreements, etc.  
  • Maintain accurate data and records regarding each contract using H&M’s contract management database 

Minimum Qualifications

  • Bachelor’s degree (or equivalent in business or legal related discipline) with a minimum of 3-5 years’ experience negotiating and creating contracts with a demonstrated ability to successfully do the same under tight timelines;
  • Must be detail oriented
  • Proactive and works well independently
  • Ability to manage time sensitive matters, multitask and manage competing priorities;
  • Excellent MS Word skills
  • Must have a working knowledge of Microsoft Office applications including word processing, spreadsheets, and PowerPoint, as well as an aptitude for learning new database software quickly SharePoint experience preferred;
  • Excellent writing/grammar/spelling skills

Preferred Qualifications

  • Juris Doctorate or Paralegal Degree, preferred, with a minimum of 3-5 years of experience negotiating and creating contracts with a demonstrated ability to successfully do the same under tight timelines;
  • Experience working for a national commercial construction company or closely-related industry preferred;
  • Experience using a contract management system preferred
